Terms and Conditions

Effective Date: June 1, 2026

Welcome to priyamsarma.com (the “Website”). These Terms and Conditions, together with all policies incorporated by reference, are referred to as the “Terms”. These Terms govern access to and use of the Website and the booking, purchase, payment, communication, and participation in Services made available through the Website.

These Terms operate between Priyam Sarma, an individual sole proprietor who owns, operates, manages, and provides selected Services through the Website, referred to as the “Service Provider”, and every person who accesses, uses, enquires through, books through, pays through, communicates through, or participates in Services through the Website.

A person who only accesses, browses, views, uses, enquires through, communicates through, or expresses interest in the Website or Services before completing a confirmed booking, purchase, payment, or transaction is referred to as a “Prospective Client.” A person becomes a “Client” only after completing a confirmed booking, purchase, payment, transaction, or service arrangement with the Service Provider.

The Website currently makes selected Services available for direct online booking, including Consultation and Coaching. The Service Provider may also make additional services, products, memberships, private engagements, customised offerings, digital products, physical products, or other offerings available separately through WhatsApp, SMS, email, private links, invoices, consent forms, or other direct communication channels, as stated in these Terms.

1. Service Provider Identity

1.1. These Terms are issued by Priyam Sarma, an individual sole proprietor who owns, operates, manages, and provides selected Services through the Website.

1.2. The Service Provider currently operates as an unregistered sole proprietor and does not operate through any company, limited liability partnership, partnership firm, society, trust, corporation, or other separate legal entity.

1.3. The Service Provider enters into all rights, obligations, Services, communications, bookings, payments, and transactions under these Terms in the capacity of an individual sole proprietor, unless the Service Provider expressly states otherwise in writing.

1.4. The Service Provider may use third-party tools, platforms, software, plugins, payment gateways, communication systems, hosting services, and other digital infrastructure to operate the Website, manage bookings, process payments, communicate with Prospective Clients and Clients, and deliver Services.

2. Applicability and Acceptance

2.1. These Terms apply to every Prospective Client and Client who accesses, visits, browses, uses, enquires through, books through, pays through, communicates through, or participates in any Service through the Website.

2.2. A Prospective Client or Client accepts these Terms by accessing the Website, selecting a Service, using the booking system, selecting any Paid Add-ons, submitting personal details, completing payment, communicating with the Service Provider, or participating in any Service.

2.3. The Privacy Policy and the Refund and Cancellation Policy published on the Website are incorporated into these Terms by reference and form an integral part of these Terms.

2.4. A Prospective Client or Client who does not agree with these Terms, the Privacy Policy, or the Refund and Cancellation Policy must immediately stop accessing and using the Website and must not book, purchase, pay for, communicate in relation to, or participate in any Service.

2.5. The Service Provider may refuse, restrict, suspend, or terminate access to the Website, booking system, Services, communications, or related facilities where the Prospective Client or Client violates these Terms, provides false, inaccurate, incomplete, or misleading information, misuses the Website, or engages in conduct that the Service Provider reasonably considers unsafe, unlawful, abusive, dishonest, disruptive, inappropriate, or inconsistent with these Terms.

3.2. Interpretation

Interpretation explains how these Terms should be read, understood, and applied wherever context or wording requires clarification.

3.2.1. A person remains a Prospective Client until a Booking, purchase, payment, or service transaction is successfully completed and confirmed. Upon such confirmation, the person becomes a Client only for the relevant Service.

3.2.2. The status of Client does not automatically extend to any separate, additional, future, off-website, customised, privately offered, membership-based, product-based, or non-website offering unless the Service Provider separately confirms such arrangement.

3.2.3. References to “Client” may include a Prospective Client where the relevant clause concerns Website access, browsing, enquiries, communications, intellectual property, prohibited conduct, disclaimers, privacy, limitation of liability, dispute resolution, or obligations arising before a Confirmed Booking or payment.

3.2.4. Words in the singular include the plural, and words in the plural include the singular, where the context permits.

3.2.5. Headings are used for convenience and do not limit, restrict, or alter the legal meaning of any clause.

3.2.6. The words “including,” “includes,” and “such as” are illustrative and do not limit the scope of the relevant clause.

3.2.7. References to written communication include email, WhatsApp message, SMS, website notification, electronic confirmation, invoice, consent form, payment confirmation, or any other written electronic communication accepted by the Service Provider.

4. Website Service Scope

4.1. The Website currently displays and makes available selected Services for direct online booking through the Website, including Consultation and Coaching.

4.2. The Website may not display every offering made available by the Service Provider. The Service Provider may separately offer the following through off-website channels:

(a) services, memberships, packages, programs, or private engagements;

(b) customised offerings, digital products, or physical products;

(c) any other offering made available through WhatsApp, SMS, email, private links, invoices, consent forms, or other direct communication channels.

4.3. The Service Provider may add, remove, modify, limit, suspend, discontinue, rename, restructure, or revise any Service-related detail at any time, including:

(a) any Service or service description;

(b) any fee, duration, booking option, or Paid Add-on;

(c) any communication method or delivery method.

4.4. Any Service description, Website page, booking panel, fee display, or promotional statement is provided for information and booking guidance only. It does not guarantee that any Service, time slot, delivery mode, Paid Add-on, communication method, or booking option will remain available at all times.

4.5. The Service Provider may refuse any booking, enquiry, communication, or request where the Service Provider reasonably considers the matter unsuitable, unavailable, outside the scope of the relevant Service, unlawful, unsafe, inappropriate, incomplete, misleading, or inconsistent with these Terms.

4.6. The Services are provided only for personal development, educational, informational, self-reflective, and guidance-based purposes. The Services do not constitute, replace, or substitute any medical, psychological, psychiatric, therapeutic, legal, financial, crisis, emergency, or other regulated professional service.

5. Off-Website Service Offerings

5.1. The Service Provider may, at the Service Provider’s sole discretion, make additional off-website offerings available that are not listed, displayed, bookable, or purchasable directly through the Website, including:

(a) additional services, packages, programs, memberships, or private engagements;

(b) customised offerings, guidance-based offerings, cartomancy-related offerings, or spiritual or symbolic interpretation-based offerings;

(c) digital products, physical products, educational materials, resources, or other paid or unpaid offerings.

5.2. The off-website offerings described under Clause 5.1 may be made available through direct communication, documentation, or transaction channels approved by the Service Provider, including:

(a) WhatsApp, SMS, email, or telephone communication;

(b) private links, payment links, invoices, consent forms, or written confirmations;

(c) any other communication, documentation, or transaction method approved by the Service Provider.

5.3. The availability or discussion of any off-website offering shall not create a public offer, open invitation, guaranteed entitlement, automatic right of access, or obligation on the Service Provider to provide that offering to any Prospective Client or Client.

5.4. The Service Provider may accept, reject, limit, modify, postpone, discontinue, or refuse any request for any off-website offering at the Service Provider’s sole discretion, without creating any obligation to provide reasons unless required by applicable law.

5.5. Each off-website offering shall be governed by the specific terms applicable to that particular transaction, including any service description, written communication, payment terms, consent form, invoice, agreement, policy, or other written terms issued, shared, or accepted by the Service Provider for that offering.

5.6. A separate agreement, consent form, service-specific document, invoice, written condition, or written confirmation issued or accepted by the Service Provider for any off-website offering shall govern that specific off-website transaction to the extent of any direct inconsistency with these Terms.

5.7. Mere enquiry, discussion, informal communication, WhatsApp message, SMS, email exchange, or verbal conversation regarding any off-website offering shall not create a binding obligation on the Service Provider to provide, reserve, continue, customise, or deliver that offering.

5.8. A binding arrangement for any off-website offering arises only when the Service Provider expressly confirms the arrangement in writing and the Prospective Client or Client completes all requirements specified by the Service Provider, including consent, payment, booking, documentation, or any other applicable condition.

5.9. Communication initiated after a Website booking, including communication through WhatsApp, SMS, email, or telephone, may be used for booking confirmation, appointment coordination, service-related communication, administrative clarification, and discussion of other services or products that may be made available separately through off-website channels.

5.10. No informal communication, representation, explanation, courtesy message, administrative clarification, or discussion shall amend, waive, override, replace, or limit these Terms unless the Service Provider expressly confirms in writing that the communication is intended to operate as a formal amendment, separate agreement, service-specific term, or binding written confirmation.

6. Website Booking System

6.1. The Website may use Third-Party Platforms for operational and service-related purposes, including:

(a) booking and scheduling;

(b) payment processing and booking confirmations;

(c) hosting, security, analytics, updates, and maintenance;

(d) communication, appointment coordination, and Service delivery support.

6.2. The Website currently uses the Amelia booking system, or any similar booking platform adopted by the Service Provider, to facilitate appointment scheduling, booking management, booking confirmations, and related service coordination.

6.3. The booking interface may allow a Prospective Client to select a Service, choose a date and time, submit personal and contact details, select any available Paid Add-ons, and choose a payment method.

6.4. The Prospective Client must make any Booking at least twenty-four (24) hours before the requested appointment time, subject to the Service Provider’s availability, open appointment slots, successful payment, and booking confirmation.

6.5. The Service Provider does not own, operate, or control the independent technical functions, systems, policies, security measures, availability, or performance of any Third-Party Platform used through or in connection with the Website.

6.6. The Service Provider shall not be responsible for any error, failure, downtime, delay, inaccurate display, technical disruption, payment delay, failed confirmation, scheduling defect, notification failure, data-processing issue, or service interruption caused by any Third-Party Platform, internet service provider, software, hardware, hosting system, payment network, banking system, communication system, or any factor outside the Service Provider’s reasonable control.

6.7. The Prospective Client or Client must enter accurate, complete, current, and lawful personal, contact, booking, and payment-related details while using the booking system.

6.8. The Service Provider shall not be responsible for any failed booking, missed communication, incorrect appointment, failed reminder, delayed confirmation, loss of session access, or loss of session time caused by inaccurate, incomplete, outdated, unlawful, or misleading information submitted by the Prospective Client or Client.

7.6. A Prospective Client may select any available Paid Add-ons before completing the Booking. The final payable amount shall be calculated and displayed in Indian Rupees (INR or ₹) at checkout based on:

(a) the selected Service;

(b) the selected date and time;

(c) any Paid Add-ons selected by the Prospective Client;

(d) any applicable taxes, charges, or fees displayed at checkout;

(e) the final total amount displayed at checkout.

7.7. Additional session duration, where available, may be selected only in the time increments, maximum duration limits, and pricing displayed on the Website or booking panel at the time of booking.

7.8. Paid Add-ons apply only to the specific Booking for which the Client selects and completes payment for those Paid Add-ons.

7.9. The Client shall not transfer, split, carry forward, exchange, resell, adjust, or apply any Paid Add-on to any other booking, Service, person, date, time, or transaction unless the Service Provider expressly agrees in writing.

7.10. Additional session duration does not guarantee any specific result, outcome, satisfaction level, depth of discussion, resolution of issue, or completion of every matter that the Client may wish to discuss during the Service.

7.11. The Client remains responsible for using the booked session time effectively and for raising relevant questions, issues, or concerns within the duration of the Confirmed Booking.

7.12. The Service Provider may end the session once the confirmed session duration expires, including any paid additional session duration selected and paid for by the Client.

7.13. The Service Provider may modify, add, remove, suspend, discontinue, or revise any Service, Service fee, session duration, Paid Add-on, delivery mode, or booking option at any time. Such changes shall not affect an existing Confirmed Booking unless technical, operational, legal, emergency, force majeure, or other unavoidable circumstances require a change.

8. Payment Gateway Methods

8.2. Razorpay operates as an independent third-party payment gateway integrated with the Website and the booking system for facilitating online payment processing.

8.3. The Service Provider does not own, operate, or control Razorpay’s payment infrastructure, payment interface, banking network, UPI system, card network, payment authorisation process, payment settlement process, or availability of any third-party payment method.

8.4. A Prospective Client must complete payment in Indian Rupees (INR or ₹) through the payment methods made available by the payment gateway at checkout, which may include:

(a) UPI;

(b) debit card;

(c) credit card;

(d) any other payment method displayed by the payment gateway at the time of payment.

8.5. A Booking becomes a Confirmed Booking only after the payment is successfully authorised and the booking is confirmed through the Website, booking system, payment gateway, email, SMS, WhatsApp, or written confirmation from the Service Provider.

8.6. The Client must provide accurate, complete, current, and lawful payment, billing, contact, and transaction information while making any payment through the Website.

8.7. The Service Provider shall not be responsible for any failed booking, failed payment, delayed confirmation, incorrect transaction detail, duplicate payment attempt, payment decline, transaction delay, settlement delay, or refund delay caused by:

The Client must pay only the final checkout amount displayed in Indian Rupees (INR or ₹), which may include the selected Service fee, selected Paid Add-ons, applicable taxes, payment gateway charges, platform fees, or any other payment-related amount clearly displayed at checkout.

8.9. A Client whose account is debited without receiving a booking confirmation must contact the relevant bank, payment method provider, and payment gateway in accordance with their applicable policies. The Service Provider may provide reasonable support where relevant transaction records are available, but the Service Provider shall not be liable for any delay, reversal issue, failed confirmation, settlement issue, or payment failure caused by any third-party payment system.

8.10. The Service Provider may refuse, cancel, suspend, withhold, or treat any Booking as unconfirmed where the related payment remains incomplete, reversed, disputed, charged back, flagged, held, declined, suspected to be fraudulent, or not successfully settled.

9. Service Delivery Methods

9.5. Coaching shall be delivered only through live video call. The Service Provider does not provide Coaching through audio-only call, regular phone call, WhatsApp audio call, or any other voice-only communication mode unless the Service Provider expressly agrees otherwise in writing.

9.6. The Service Provider may conduct Coaching through a WhatsApp video call, Google Meet, Zoom, or any other video communication method expressly confirmed by the Service Provider.

9.7. The Service Provider may decide, confirm, or change the final communication platform for any Confirmed Booking based on operational convenience, technical suitability, platform availability, Client accessibility, platform reliability, or any other reasonable service-related factor.

9.8. The Client must cooperate with any reasonable instruction given by the Service Provider regarding the communication platform, access link, application, device setup, or technical requirement necessary to attend the Confirmed Booking.

9.9. The Client must ensure, before the scheduled session time, that the Client has access to the required device, internet connection, phone network, application, account, access link, microphone, camera, and any other technical requirement necessary to attend and participate in the Service.

9.10. The Service Provider shall not be responsible for any delay, disruption, non-attendance, poor audio quality, poor video quality, call drop, device issue, internet issue, phone network issue, application issue, access-link issue, or technical failure caused by the Client, the Client’s device, the Client’s network, the Client’s technical setup, or any Third-Party Platform.

10. Post-Booking Communications

10.1. The Service Provider may contact the Client after a Confirmed Booking through WhatsApp, SMS, email, telephone call, or any other reasonable Communication Channel submitted by the Client or available in the booking details.

10.2. Communications made under Clause 10.1 may relate to operational, administrative, payment-related, or Service-related matters, including:

(a) booking confirmation and payment confirmation;

(b) appointment coordination and session reminders;

(c) platform selection, access links, and joining instructions;

10.4. The Client must ensure that the phone number, email address, and other contact or communication details submitted during the booking process remain accurate, accessible, active, and functional until the Service is completed.

10.5. The Service Provider shall not be responsible for any missed communication, missed session, failed confirmation, non-delivery of message, appointment issue, loss of session access, or loss of session time caused by incorrect contact details, inactive phone numbers, unavailable WhatsApp accounts, email filtering, SMS failure, network issues, platform failure, or Client non-response.

10.6. No informal communication, courtesy message, clarification, administrative instruction, operational communication, or routine service-related communication shall modify, waive, override, limit, or replace these Terms unless the Service Provider expressly confirms the modification in writing.

11. Refund Policy Incorporation

11.1. The Refund and Cancellation Policy published on the Website governs all booking, payment, cancellation, rescheduling, missed session, no-show, late attendance, and refund-related matters connected with Website Services.

11.2. The Client is deemed to have accepted the Refund and Cancellation Policy by booking any Service, completing payment, communicating with the Service Provider after booking, or participating in any Service.

11.3. A Confirmed Booking shall remain final and binding unless cancellation, refund, credit, transfer, exchange, or rescheduling is expressly permitted under the Refund and Cancellation Policy or confirmed in writing by the Service Provider.

11.4. The Client shall not claim any refund, compensation, cancellation, transfer, exchange, credit, adjustment, or chargeback in relation to a Confirmed Booking except to the limited extent expressly allowed under the Refund and Cancellation Policy or confirmed in writing by the Service Provider.

11.5. The Service Provider may rely on booking records, payment records, communication records, platform logs, attendance records, and written confirmations to determine any refund, cancellation, no-show, late attendance, or rescheduling matter.

12. Rescheduling Requests

12.1. The Client may request one-time rescheduling of a Confirmed Booking by submitting a written rescheduling request by email to request@priyamsarma.com at least twelve (12) hours before the scheduled session time.

12.2. A rescheduling request may relate to the scheduled date, scheduled time, or both. The Service Provider may approve the request only subject to the Service Provider’s availability, open appointment slots, operational convenience, and scheduling capacity.

12.3. Rescheduling is not an automatic right of the Client. The Service Provider may approve, reject, delay, or decline any rescheduling request at the Service Provider’s reasonable discretion.

12.4. The Service Provider shall have no obligation to accept any rescheduling request submitted less than twelve (12) hours before the scheduled session time.

12.5. The Client may reschedule a Confirmed Booking only once, unless the Service Provider expressly agrees otherwise in writing.

12.6. The Client shall not be entitled to any refund, credit, compensation, extension, substitute service, or automatic rescheduling where:

(b) remains unreachable at or around the scheduled session time;

(c) fails to respond to reasonable session-related communication from the Service Provider;

(d) fails to join the scheduled session through the agreed Communication Channel or platform;

13.3. A no-show shall not entitle the Client to any refund, cancellation, credit, compensation, session extension, substitute service, or automatic rescheduling.

13.4. Late attendance by the Client shall not extend the confirmed session duration or require the Service Provider to provide additional session time.

13.5. The Service Provider may end the session at the originally scheduled end time, or at any other time reasonably determined by the Service Provider, even where the Client joins the session late or loses session time due to late attendance.

13.6. The Service Provider shall not be responsible for any loss of session time caused by the Client’s late attendance, incorrect or incomplete contact details, non-response, device issues, internet issues, phone network issues, platform access issues, technical difficulties, or unavailability.

13.7. Any rescheduling request arising from the Client’s non-attendance or late attendance must comply with Section 12 and the Refund and Cancellation Policy.

14. Age and Minor Access

14.1. The Website, booking system, payment process, Services, and related communications are intended only for persons who are at least eighteen (18) years of age.

14.2. A person below eighteen (18) years of age shall not independently access, use, browse, book, purchase, pay for, communicate in relation to, or participate in any Service through the Website.

14.3. A parent or lawful guardian may book Consultation or Coaching for a person below eighteen (18) years of age only where the parent or lawful guardian:

(e) provides written consent for the minor’s participation in the Service.

14.4. Before the minor participates in any Service, the parent or lawful guardian must submit a written consent statement, application, or confirmation to the Service Provider through WhatsApp, SMS, email at minor@priyamsarma.com, or any other Communication Channel expressly accepted by the Service Provider.

14.5. The written consent submitted by the parent or lawful guardian must clearly state:

(a) the minor’s full name;

(b) the minor’s age;

(c) the relationship between the minor and the parent or lawful guardian;

(d) the purpose of the booking;

(e) clear consent for the minor to participate in the Service under parental or lawful guardian supervision.

14.6. The parent or lawful guardian remains fully responsible for the booking, payment, consent, communication, participation, supervision, conduct, information shared, decisions taken, and actions or omissions arising before, during, or after the Service.

14.7. The Service Provider may refuse, suspend, cancel, or terminate any booking, communication, or Service where the Service Provider does not receive adequate parental or lawful guardian consent, cannot reasonably verify the booking authority of the parent or lawful guardian, or considers the Service unsuitable or inappropriate for the minor.

14.8. A person below eighteen (18) years of age breaches these Terms by falsely representing that they are eighteen (18) years of age or above, submitting false or misleading age-related information, independently booking any Service, or participating in any Service without valid parental or lawful guardian consent. Where the Service Provider discovers any such false information, unauthorised participation, or age-related misrepresentation, the Service Provider may immediately terminate communication, refuse Service, cancel access, and decline future Services.

14.9. No refund, rescheduling, credit, compensation, or continued service obligation shall arise where the Service Provider refuses, suspends, cancels, or terminates any booking, communication, access, or Service under Clause 14.8 due to false age information, lack of valid parental or lawful guardian consent, unauthorised minor participation, or any age-related misrepresentation.

15.1. The Client must communicate with the Service Provider respectfully, decently, honestly, cooperatively, and lawfully at all times.

15.2. The Client must provide accurate personal details, truthful background information, honest personal history, and any relevant information reasonably required for the proper delivery of the Service.

15.3. The Client must respect the Service Provider’s personal boundaries, professional boundaries, communication limits, time limits, Service scope, and reasonable service-related instructions.

15.4. The Client shall not engage in any abusive, threatening, harassing, intimidating, manipulative, unlawful, inappropriate, dishonest, disruptive, non-cooperative, or Terms-inconsistent conduct before, during, or after any Service-related communication or session.

15.5. Prohibited conduct includes:

(f) conduct that disrupts, misuses, interferes with, or obstructs the proper delivery of the Service.

15.6. The Service Provider may refuse, suspend, discontinue, or immediately terminate any booking, session, communication, or Service where the Client breaches this Section or where the Service Provider reasonably considers the Client’s conduct unsafe, abusive, inappropriate, unlawful, dishonest, manipulative, non-cooperative, disruptive, or inconsistent with these Terms.

15.7. Termination under this Section may occur before, during, or after any session, including immediately during a live call, video call, message exchange, or any other Service-related communication.

15.8. A Client whose booking, session, communication, or Service is refused, suspended, discontinued, or terminated under this Section shall not be entitled to any refund, rescheduling, credit, compensation, session extension, substitute session, or continued access to the Service.

15.9. The Service Provider may take appropriate legal action where the Client’s conduct involves threats, harassment, defamation, privacy breach, intellectual property misuse, illegal activity, unauthorised recording, reputational harm, breach of confidentiality, or any other actionable misconduct.

16. Recording and Screenshots

16.1. The Service Provider may record any audio call, video call, online session, Consultation, Coaching session, or related Service communication for lawful internal reference, analysis, record-keeping, service continuity, evidence, dispute handling, legal protection, or compliance purposes.
